1. General Information
These Terms and Conditions govern the provision of web development, technology consulting and digital operations services by ZABU Operations.
Hiring any service implies full acceptance of these conditions.
2. Services Offered
ZABU Operations offers the following services:
- Development of websites and applications.
- Maintenance and technical support.
- Consulting on software architecture.
- Digital operations and DevOps.
- System and API integration.
3. Hiring Process
3.1 Quote Request
The client requests a quote detailing the project requirements. ZABU Operations will respond with an economic and technical proposal within a maximum of 5 business days.
3.2 Acceptance
The contract is formalized through written acceptance (email or contract) of the quote and payment of the corresponding deposit.
3.3 Project Scope
The scope of work will be defined in the accepted quote. Any modification or expansion will be managed through additional quotes.
4. Prices and Payments
4.1 Prices
Prices indicated in quotes do not include VAT, unless expressly stated. The applicable VAT will be the one in force at the time of invoicing.
4.2 Payment Method
- Small projects: 50% at start, 50% on delivery.
- Medium/large projects: 30% at start, 40% at intermediate milestone, 30% on delivery.
- Maintenance: Advance monthly invoicing.
4.3 Payment Terms
Invoices must be paid within a maximum of 15 days from issuance, unless otherwise agreed.
4.4 Non-Payment
Non-payment will entitle ZABU Operations to suspend services until the situation is regularized, without prejudice to claiming the amounts owed.
5. Delivery Times
Delivery times will be agreed in each quote. These times are indicative and may be affected by:
- Delays in the delivery of materials by the client.
- Changes in the project scope.
- Force majeure events.
6. Client Obligations
The client undertakes to:
- Provide all the information and materials necessary in due time and form.
- Review and approve deliverables within the agreed timeframes.
- Pay the agreed amounts within the established deadlines.
- Designate a single point of contact for communication with ZABU Operations.
7. Intellectual Property
7.1 Developed Code
Once the total project amount has been paid, the client acquires ownership of the code developed specifically for them.
7.2 Tools and Libraries
ZABU Operations retains ownership of the tools, frameworks and proprietary libraries used in the development.
7.3 Portfolio
ZABU Operations reserves the right to include the project in its portfolio, unless otherwise agreed under confidentiality.
8. Confidentiality
Both parties undertake to keep confidential all information exchanged during the commercial relationship, except with express authorization or legal requirement.
9. Warranty and Support
ZABU Operations offers a 30-day warranty from final delivery for correction of errors in the developed code. This warranty does not cover:
- Modifications made by third parties.
- Problems caused by the client environment (hosting, configurations).
- New features or scope changes.
10. Limitation of Liability
ZABU Operations' liability is limited to the total amount of the contracted project. We are not responsible for:
- Indirect damages or lost profits.
- Loss of data not backed up by the client.
- Incompatibilities with unspecified third-party services.
11. Cancellation
The client can cancel the project at any time. In case of cancellation:
- Hours worked to date will be invoiced.
- Advance payments are non-refundable.
- Deliverables completed up to that point will be delivered.
12. Applicable Law
These conditions are governed by Spanish law. For any dispute, the parties submit to the Courts and Tribunals of the city of domicile of the service provider.
